Item 7.01. Regulation FD Disclosure
OGE Energy Corp. (the "Company") is the parent company of Oklahoma Gas and Electric Company ("OG&E"), a regulated electric utility with approximately 786,000 customers in Oklahoma and western Arkansas, and OGE Enogex Holdings LLC and its subsidiaries ("Enogex"), a midstream natural gas pipeline business with principal operations in Oklahoma.
On September 7, 2011, the Company is scheduled to make a presentation to certain investors during which, among other things, the Company will reaffirm the statements in its Form 10-Q for the quarter ended June 30, 2011 that it expects 2011 earnings to exceed the top end of its previously disclosed 2011 earnings guidance of between $299 million and $318 million of net income, or $3.00 to $3.20 per average diluted share. Also, as indicated in such Form 10-Q, and as a result of the new gathering and processing arrangement described in the Company's Form 8-K filed on September 1, 2011, the Company expects that 2011 earnings for Enogex to be at the lower end of the previously disclosed guidance range for Enogex for 2011 of $0.90 to $1.05. With the exception of the warmer weather experienced through August 31, 2011, and the new gathering and processing arrangement discussed in the Company's Form 8-K filed on September 1, 2011, the key factors and assumptions regarding the Company's 2011 earnings guidance remain unchanged and are contained in the Company's Form 10-K for the year ended December 31, 2010 and the Company's Form 10-Q for the quarter ended March 31, 2011.
