(1) | Dr. Kunerth, a non-employee director of the Company, is entitled to receive an annual grant of shares of Common Stock with a market value of USD 15,000 at the time of the grant as part of his compensation for serving on the Board of Directors of the Company. These shares were granted to Dr. Kunerth on April 28, 2004 for serving on the Board of Directors for the period beginning on the 2003 Annual General Meeting of Shareholders and ending on the 2004 Annual General Meeting of Shareholders. The number of shares of Common Stock acquired by the Company for the benefit of Dr. Kunerth was calculated by dividing USD 15,000 by the average of the sale price of the Common Stock on April, 28, 2004, which was USD 43.41 per share. Accordingly Dr. Kunerth was entitled to receive 346 shares of the Common Stock from the Company. No independent investment decision has been taken by Dr. Kunerth in connection with the acquisition of these securities. |
