Item 2.03 Creation of a Direct Financial Obligation Agreement
On March 30, 2010, AeroCentury Corp. (the "Company") entered into an Amendment to Credit Agreement ("Amendment") dated as of March 31, 2010, between and among the Company, PNC Bank, N.A.(as successor to National City Bank, N.A.), as agent ("PNC") and the other banks ("Banks") that are signatories to that certain Second Amended and Restated Credit Agreement, dated April 17, 2007, as amended to date (the "Credit Agreement"). Under the Amendment the Company, PNC, and the Banks agreed to extend from March 31, 2010, to April 15, 2010, the maturity date of the loan made pursuant to the Credit Agreement. A copy of the Amendment is filed as Exhibit 99 hereto.
