ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION
On November 8, 2012, the Company announced its financial and operating results for the fiscal quarter ended September 30, 2012. The full text of the press release issued in connection with the announcement is attached hereto as Exhibit 99.1.

On November 7, 2012, the Company issued a press release announcing the submission of a supplemental Biologics License Application (sBLA) to the U.S. Food and Drug Administration (FDA) for XIAFLEX for the potential treatment of Peyronie’s disease by its partner Auxilium Pharmaceuticals, Inc.
