ITEM 8.01  OTHER EVENTS.

On July 18, 2013, the board of directors of Wisconsin Energy Corporation decided to accelerate the dividend action that was planned for the first quarter of 2014. As a result, the board declared a quarterly cash dividend of $0.3825 per share on Wisconsin Energy's common stock. This represents an increase of $0.0425 per share in the quarterly dividend, and raises the annual dividend rate from $1.36 per share to $1.53 a share.

The dividend is payable September 1, 2013, to stockholders of record on August 14, 2013.
