Item 9.   Regulation FD Disclosure.

On December 2, 2003, Aftermarket Technology Corp. (the “Company”) issued a press release (a copy of which is attached as Exhibit 99.1) announcing, among other things, the following:

 

•       appointment of Don Johnson as President and Chief Operating Officer, effective January 1, 2004;

•       potential sale of the Company’s UK Engine business for $32 million in cash;

•       discussions with the Company’s bank group to amend its existing credit facility to allow the initiation of up to $60 million in stock repurchases; and

•       projection of significant performance increase in 2004.
