Item 3.  Bankruptcy or Receivership.

 

On April 30, 2004, Liberate Technologies filed a voluntary petition for reorganization under chapter 11 of the United States Bankruptcy Code (the “Bankruptcy Code”) in the United States Bankruptcy Court for the District of Delaware (the “Bankruptcy Court”), case number 04-11299.  Liberate continues to maintain its assets, operate its business and manage its affairs as a debtor-in-possession under the jurisdiction of the Bankruptcy Court and in accordance with applicable provisions of the Bankruptcy Code.

 

A copy of the press release announcing the filing of the petition is attached as Exhibit 99.1 to this report on Form 8-K and is incorporated herein by reference.
