Item 1.01.             Entry into a Material Definitive Agreement.

On September 15, 2006, the Board of Trustees of GMH Communities Trust (the “Company”), upon recommendation of the Nominating and Corporate Governance Committee and the Company’s management, approved an aggregate one-time payment of $150,000 to the members of the Audit Committee in recognition of their additional work in performing the Company’s special investigation initiated during the first quarter of 2006. These additional Committee fees are payable as follows: Steven J. Kessler (Chairman) - $67,500; Richard A. Silfen - $52,500; and RADM James W. Eastwood (Ret) - $30,000.
