Item 8.01. Other Events.


On June 2, 2008, Iron Mountain Incorporated, or the Company, announced that it priced an underwritten public offering of $300 million in aggregate principal amount of 8% Senior Subordinated Notes due 2020, or the 8% Notes.  The 8% Notes will be sold at 100% of par.  The net proceeds to the Company from this offering are expected to be $295.2 million, after paying the underwriter’s discounts and commissions and estimated expenses.  The Company intends to use some of the net proceeds from this offering to redeem the remaining $71.8 million of aggregate principal amount of 8-1/4% Senior Subordinated Notes due 2011, or the 8-1/4% Notes, pursuant to a call notice to be sent to holders of the Notes on or about the date of closing of the 8% Notes, which we expect to occur on June 5, 2008, or the Call Notice.  Net proceeds are also expected to be used for the repayment of outstanding indebtedness under the Company’s revolving credit facility, for the possible repayment, repurchase or retirement of other indebtedness and for general corporate purposes, including possible future acquisitions and investments.

The redemption of the 8-1/4% Notes will be made only by means of the Call Notice.  This Current Report on Form 8-K does not constitute a notice of redemption of the 8-1/4% Notes.
