On May 4, 2009, International Game Technology issued a press release announcing its intention to offer, subject to market and other conditions, approximately $500 million in aggregate principal amount of its Convertible Notes due 2014 in a private placement to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended.  A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
