Item 7.01               Regulation FD Disclosure.

 

On February 16, 2010, Innovative Solutions and Support, Inc. (the “Company”) issued a press release announcing that the Board of Directors has approved a stock repurchase program pursuant to which the Company may repurchase up to 1 million shares of its common stock.  The program will remain in effect until February 10, 2011, unless extended by the Board of Directors.  The program replaces the Company’s previous stock repurchase program, which expires as of February 22, 2010.  The press release is attached as Exhibit 99.1 to this report.
