Item 1.01. Entry into a Material Definitive Agreement.
On June 30, 2014, Corium International, Inc. (the Company) and The Procter & Gamble Company (P&G) entered into a restatement of their commercial supply agreement dated June 4, 2010 to, among other things, extend the term of the agreement through January 31, 2017 (the Restated Supply Agreement). Pursuant to the Restated Supply Agreement, the Company produces and supplies to P&G oral care products that are sold under the brand name Crest Whitestrips.
The foregoing summary of the Restated Supply Agreement does not purport to be complete and is qualified in its entirety by reference to the Restated Supply Agreement, which will be filed with the U.S. Securities and Exchange Commission (the SEC) as an exhibit to the Companys Quarterly Report on Form 10-Q for the quarter ended June 30, 2014.
The Restated Supply Agreement is part of a multi-faceted strategic arrangement between the Company and P&G as described in further detail in the Companys Prospectus that was filed with the SEC pursuant to Rule 424(b)(4) on April 3, 2014.
