Item 2.02 Results of Operations and Financial Condition.
On August 23, 2005, EasyLink Services Corporation issued a press release
reporting on the status of the completion of its 2nd quarter financial results
for the quarter ended June 30, 2005, potential adjustments to certain prior
period expense and foreign tax liability accruals and revenue and earnings
guidance for the 2nd and 3rd quarters and full year 2005. A copy of the press
release is attached as Exhibit 99.1 to this Current Report on Form 8-K.
