(1) | Each performance unit represents a contingent right to receive shares of JCPenney common stock. Conversion is one-for-one. The number of performance units reported represents a target award. The actual number of units that vest may range from 0 to 500,000 based the Company's annual total stockholder return over the three-year performance period. To vest in any performance units, the Company must achieve a minimum annual total stockholder return of 11.3% per year over the performance period. The maximum payout under the award is capped at $25 million based on the closing price of JCPenney common stock on the vesting date. |
