      The Company has not been able to compile the requisite financial data and
other narrative information necessary to enable it to have sufficient time to
complete the Company's Annual Report on Form 10-KSB by March 31, 2006, the
required filing date, without unreasonable effort and expense.

      In approximate dollar amounts, the loss is expected to increase by
$551,000 to $1,320,000 for 2005 compared to the loss for 2004 (as amended) of
approximately $769,000. In approximate dollar amounts, the increase in the loss
is comprised of a decline in gross margin of $128,000, increased research and
development expenses of $296,000, increased general and administrative expenses
of $54,000, a decline in other income of $66,000 and an increase in other
expenses of $7,000.
