Other Events.

On August 5, 2009, Kulicke and Soffa Industries, Inc. issued a press release announcing that it has commenced an offering of up to 7.0 million shares of its common stock, no par value (the “Common Stock”) with an underwriters’ option to purchase up to 1.0 million additional shares of Common Stock solely to cover any over-allotments.  A copy of the press release is included as Exhibit 99.1 to this Current Report and is incorporated by reference herein.
