Item 8.01  Other Events
 
On March 24, 2010, Service Corporation International (“SCI”) issued a press release announcing that it has received regulatory clearance to acquire Keystone North America Inc. (“Keystone”) in connection with SCI’s tender offer (the ”Offer”) for all outstanding common shares, including those represented by income participating securities, (the “Keystone Shares”) of Keystone.  Through its wholly owned subsidiary, SCI intends to take up all of the Keystone Shares tendered to the Offer as of the expiry time, provided that the 66 2/3% minimum tender condition and the other conditions of the Offer are met.  The Offer expires at 3:00 p.m. (Eastern time) on Friday, March 26, 2010.  A copy of this press release is attached as Exhibit 99.1 to this report and is incorporated herein by reference.
