Item 7.01. Regulation FD Disclosure.

Ultralife Batteries, Inc. (the "Company") expects second quarter revenue of
approximately $21 million, after the U.S. Defense Department informed it that a
planned BA-5390 battery procurement will not occur before the end of the second
quarter, as originally anticipated in the company's second quarter revenue
guidance of approximately $28 million. The Company's press release is attached
as Exhibit 99.1 to this Form 8-K, and the information set forth therein is
furnished under Item 7.01.
