Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

 

As previously reported, Liberty Tax, Inc. (the “Company”) received formal notice from The Nasdaq Stock Market LLC (“Nasdaq”) indicating that the Nasdaq Hearings Panel (the “Panel”) had determined to delist the Company’s common stock from Nasdaq based upon the Company’s non-compliance with the filing requirements set forth in Nasdaq Listing Rule 5250(c)(1). As a result of the Panel’s decision, Nasdaq suspended trading in the Company’s common stock on Nasdaq, effective as of August 2, 2018. On February 1, 2019, Nasdaq filed a Form 25 NSE Notification of Delisting with the Securities and Exchange Commission to effect the formal delisting of the Company’s common stock from Nasdaq following the expiration of the appeal and review periods. The delisting will become effective on February 11, 2019.

 

The Company’s common stock is being traded on the OTC Markets under the symbol “TAXA.”
