Top Image Systems Announces Receipt of NASDAQ Staff Letter Regarding Failure to Hold its Annual Shareholders Meeting by the End of 2008 Fiscal Year

Tel Aviv, Israel – January 9, 2009 –Top Image Systems Ltd. (NASDAQ: TISA, TASE: TISA) the leading innovator of intelligent document recognition, makes the following announcement:

On January 6, 2009, we received a Nasdaq Staff Determination letter stating that we failed to hold an annual shareholder’s meeting by the end of our fiscal year on December 31, 2008, in violation of the continuing listing standard set forth in Nasdaq Marketplace Rule 4350(e), and that our shares of common stock are, therefore, subject to delisting from the Nasdaq stock market.

Our failure to hold an annual shareholders’ meeting was inadvertent, and we have already taken the necessary steps to cure the non-compliance, by calling for an annual shareholders meeting and distributing proxies on January 5, 2009. The meeting is scheduled to take place on February 9, 2009. We have requested a hearing before a Nasdaq Listing Qualifications Panel to review the Staff Determination. We have advised the panel that our failure to hold the meeting has been inadvertent and that we have taken the necessary steps to hold the meeting and regain compliance. The date for the hearing has not yet been set. Our shares of common stock will continue to be listed in Nasdaq until the panel reaches a decision.

We believe that once our annual shareholders’ meeting takes place we will regain compliance with Rule 4350(e) and our common stock will not be delisted.
