6-K ITEM
On November 20, 2012, On Track Innovations Ltd. ("Company") advised Mr. Jerry Ivy's ("Mr. Ivy") counsel that the board of directors of the Company decided to convene an extraordinary meeting of shareholders, to be held no later than December 31, 2012.
The agenda for such meeting is expected to include the following items: (i) voting on amendments to the Company’s Articles of Association so as to enable removal of directors in midterm and election of new directors in the course of an extraordinary meeting; and (ii) voting on removal of directors and election of new directors as provided in the request of Mr. Ivy as stated in his Schedule 13D/A filed on October 22, 2012.
