(1) The shares are immediately convertible.
(2) The shares do not have an expiration date.
(3) Reflects a 2-for-3 reverse stock split of the Issuer's outstanding securities effected immediately prior to the effectiveness of the Issuer's S-1 Registration Statement (Commission File No. 333-164044).
(4) Each share of Series D Preferred Stock will automatically convert on a 1-for-1 basis into Common Stock upon the closing of the Issuer's initial public offering.
(5) Biomedical Sciences Investment Fund Pte Ltd is wholly-owned by EDB Investments Pte Ltd, which is wholly-owned by the Economic Development Board of Singapore. No individual has beneficial ownership over shares held by Biomedical Sciences Investment Fund Pte Ltd. Voting and investment decisions relating to these securities are made by the board of directors of Biomedical Sciences Investment Fund Pte Ltd., which is currently comprised of Ms. Chu Swee Yeok and Mr. Beh Kian Teik. The board of directors of Biomedical Sciences Investment Fund Pte Ltd acts by majority vote and no board member may act individually to vote or sell these securities.
