Item 5.02.  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 
On February 19, 2008, Richard Kranitz, a member of the Board of Directors of AeroGrow International, Inc. (“AeroGrow,” or the “Company”), notified the Company that he will resign from his position as a member of AeroGrow’s Board of Directors effective March 1, 2008.  Mr. Kranitz’s resignation is not due to any disagreement with the Company.
