Item 2.02. Results of Operations and Financial Condition

 

On October 5, 2004, OPNET Technologies, Inc. (the “Company”) announced preliminary financial results for the quarter ended September 30, 2004. The full text of the press release issued in connection with the announcement is furnished as Exhibit 99.1 to this Current Report on Form 8-K.

 

The information in this Form 8-K (including Exhibit 99.1), other than Item 8.01 “Other Events” below, shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934 (the “Exchange Act”) or otherwise subject to the liabilities of that section, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933 or the Exchange Act, except as expressly set forth by specific reference in such a filing.

 

Item 8.01. Other Events

 

On October 5, 2004, the Company also announced that it has received notice of a lawsuit filed by Compuware Corporation on September 27, 2004, alleging patent infringement. Based on a preliminary review, the Company believes it has substantial defenses to the allegations, and the Company intends to vigorously defend against the litigation.
