Item 1.01 Entry into a Material Definitive Agreement.

Item 2.01 Completion of Acquisition or Disposition of Assets.

 

On March 10, 2005, registrant took title and delivery of a new Trumpf L3050 Laser Cutting Machine. The registrant acquired the equipment from TRUMPF Inc. of Farmington, CT pursuant to a purchase order.

 

The cost of the new equipment and installation approximates $705,000. The registrant paid a 10% deposit in October 2004 and the remainder is due 30 days after installation.
