Item 5.02(d) Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

 

On March 23, 2005, John McMahan informed our Board of Directors that he intends to retire from the Board of Directors and all committees thereof effective the day prior to our Annual Meeting of Shareholders, or May 18, 2005. Mr. McMahan has served as an independent director of the Company since 1993 and was Chairman of the Board from 1996 to 2004.

 

The Board of has resolved to reduce the size of the Board from ten members to nine at the effective time of Mr. McMahan’s retirement.
