Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers
At Unitil Corporation’s (“Unitil” or the “Company”) 2006 Annual Meeting of Common Shareholders, held on April 20, 2006 at the Company’s corporate headquarters in Hampton, New Hampshire, Unitil’s common shareholders elected Robert G. Schoenberger, Charles H. Tenney, III and Dr. Sarah P. Voll to the Company’s Board of Directors for three-year terms.

On April 20, 2006, Unitil held its 2006 Annual Meeting of Common Shareholders at the Company’s corporate headquarters in Hampton, New Hampshire. The Company issued a press release, attached as Exhibit 99.1 to this Form 8-K, regarding the Annual Meeting.
