Section 1 – Registrant’s Business and Operations

 

Item 1.01 Entry into a Material Definitive Agreement

On May 14, 2008, the stockholders of FreightCar America, Inc. (the “Company”) at the annual meeting of stockholders approved an amendment (the “Amendment”) to the FreightCar America, Inc. 2005 Long Term Incentive Plan (the “Plan”) that, among other things: (i) increases the number of shares authorized for issuance under the Plan from 659,616 to 1,659,616; (ii) adds additional performance measures that may be used in connection with awards designed to qualify for the performance-based compensation exception to the tax deductibility limitation of Section 162(m) of the Internal Revenue Code of 1986, as amended (the “Code”); and (iii) makes administrative and technical changes to various provisions of the Plan in order to maintain compliance with Section 162(m) and 409A of the Code. The Amendment was previously approved by the board of directors of the Company on March 28, 2008.
