ITEM 1.01. ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT

As previously reported on June 3, 2008, Briggs & Stratton Corporation and its subsidiary, Briggs & Stratton Power Products Group, LLC entered into a definitive agreement to acquire Victa Lawncare Pty. Ltd. of Sydney, Australia. The acquisition of Victa Lawncare Pty. Ltd. was completed on June 30, 2008.
