Item 7.01 Regulation FD Disclosure.

On August 19, 2008, Ash Grove Cement Company (“Ash Grove”) filed a Schedule 13D with the Securities and Exchange Commission in which Ash Grove disclosed that it had acquired approximately 5.0% of the outstanding shares of common stock of Eagle Materials Inc., a Delaware corporation (“Eagle”), for a total purchase price of approximately $53.5 million.

After the date of the above filing, Ash Grove notified Eagle that Ash Grove has a good faith intention to purchase in excess of $63.1 million of Eagle common stock, including shares already held by Ash Grove, and that Ash Grove made a filing under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Act”), relating to such intended purchase. On October 16, 2008, Eagle filed its notice as required by the HSR Act in connection with Ash Grove’s filing.
