The Registrant’s Restated Certificate of Incorporation (Exhibit 3(i).(3) to the Registrant’s Registration Statement on Form S-1 (File No. 333-167564) (the “Form S-1 Registration Statement”)) and the Registrant’s Amended and Restated Bylaws (Exhibit 3(ii).(2) to the Form S-1 Registration Statement) provide for indemnification of the Registrant’s directors, officers, employees and other agents to the extent and under the circumstances permitted by the Delaware General Corporation Law.
