As supplemental disclosure to its proxy statement dated March 23, 2012, Cliffs Natural Resources Inc. (the “Company”) is providing additional clarity concerning certain current executive compensation practices. Currently, the Company does not extend prior employment service credits related to its supplemental executive retirement plan benefits to newly hired executives. However, the executives who have received the benefit in the past have been “grandfathered” and will continue to be entitled (upon meeting vesting requirements) to the service credits awarded to them relating to the supplemental retirement plan.
