The Company has delayed the filing of its Form 10-K for the year ended December 29, 2012 because the financial statements could not be finalized in a timely manner due to the Company’s recent sale of its III-V business and resulting tax and accounting complications.

The Company had changes in its results of operations from the corresponding period for the last fiscal year as a result of the sale of its III-V business on January 16, 2013 and the characterization of the III-V assets as held for sale under Discontinued Operations. The description of such changes are as set forth in the Company’s Form 8-K filed with the Commission on March 13, 2013 together with Exhibit 99.1 thereto, which is incorporated herein by reference.
