TransAtlantic Petroleum Ltd. (the “Company”) is unable to file its Annual Report on Form 10-K for the year ended December 31, 2012 (the “Form 10-K”) within the prescribed time period without unreasonable effort and expense. During the preparation of the Company’s financial results for the year ended December 31, 2012, the Company identified errors in previously reported amounts in prior accounting periods. As a result, the Company needs additional time to complete and review its financial statements and disclosures to be contained in the Form 10-K. The Company intends to file its Form 10-K within the fifteen day extension period afforded by Rule 12b-25 under the Securities Exchange Act of 1934, as amended.

Part IV, Item (3)

The Company anticipates that its Form 10-K for the year ended December 31, 2012 will contain results of operations that reflect a significant change from the year ended December 31, 2011, due to the consummation of the sale of the Company’s oilfield services business and the application of the net proceeds therefrom and the operational changes resulting therefrom.

Based on information that is available at this time, the Company’s net loss from continuing operations for 2012 is expected to be in the range of approximately $12.6 million to $17.6 million, compared to a net loss from continuing operations of approximately $75.2 million for 2011. The Company cautions that the estimation of net loss from continuing operations is preliminary and subject to change, possibly materially, following the completion and review of the Company’s financial statements.
