Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On June 13, 2013, the Board of Directors (the “Board”) of National Fuel Gas Company (the “Company”) amended the Company’s By-Laws, effective as of that date. The Board amended Article II, Section 1 of the By-Laws to provide that, in general, no person shall qualify for service as a director of the Company if such person is a party to any compensatory, payment or other financial agreement, arrangement or understanding with any person or entity other than the Company in connection with candidacy or service as a director of the Company. The Board also added a new Article II, Section 10 providing that any action required or permitted to be taken pursuant to authorization voted at a meeting of the Board, or a committee thereof, may be taken without a meeting if, before or after the action, all members of the Board or of the committee consent thereto in writing (including by electronic transmission) and the written consents are filed with the minutes of the proceedings of the Board or committee.
