Mississippi Commission denies ITC transaction

Today the Mississippi Public Service Commission denied the joint application to separate and merge Entergy Mississippi, Inc.’s transmission business with a subsidiary of ITC Holdings Corp.

The commission’s decision was rendered in a 99-page order. Central District Commissioner and Chairman Lynn Posey was quoted in an MPSC news release saying, “We respect Entergy’s desire to improve its organizational effectiveness, but the commission was not persuaded the transfer of ownership would be in the best interest of Mississippi’s customers.”

“We are disappointed that the Mississippi commission took action today and found that the transaction is not in the public interest,” said Haley Fisackerly, president and CEO of Entergy Mississippi. “We will evaluate the Mississippi commission’s order and work with ITC to determine next steps.”

ITC filed a registration statement on Form S-4 (Registration No. 333-184073) with the SEC registering the offer and sale of shares of ITC common stock to be issued to Entergy shareholders in connection with the proposed transactions.
