SHAREHOLDERS MEETINGS APPROVE NXP FREESCALE MERGER

To: All NXP employees
We have reached a significant milestone in our proposed merger with Freescale. Separate meetings for each companys shareholders were held today, with a resounding positive outcome. Both NXPs Special Meeting and Freescales Special General Meeting approved the merger proposal with over 99% of the votes cast in favor of the merger, clearing the path for the remaining stages of the process. Today the NXP Shareholders Meeting also appointed Gregory L. Summe and Peter Smitham, currently board members of Freescale, as non-executive directors of NXP, effective as of Day One.
With the overwhelming support of our shareholders, we continue finalizing the creation of a true industry powerhouse. The Smarter World ahead of us offers significant growth opportunities for NXP, in a range of markets including Automotive and IoT. We are confident that the combined strengths of our two companies will enable us to significantly outgrow the overall market, reinforcing our position as a key player in the semiconductor industry.
