As we previously informed you, we have entered into a definitive agreement under which NXP will merge with Freescale. In doing so, we are convinced that NXP will serve you better than ever before as a stronger leader focused on smarter world applications. As we prepare for the announced merger, NXP wants to assure you of its continuing commitment to support you and the obligations under our mutually beneficial contracts.

As you are aware, the merger is subject to certain regulatory approvals and therefore NXP and Freescale must continue to act as separate and independent suppliers until the merger takes place. Accordingly, NXP would propose that immediately after the merger is effective, a dedicated NXP team will meet with you to harmonize any contractual arrangements which may exist as a result of this merger. We fully understand that scheduling such a joint meeting typically can’t be arranged on Day 1 of the merger, so would further propose that the contractual arrangements remain uninterrupted until such time as our joint meeting can be concluded.
