Item 8.01 Other Events.

On December 11, 2015, the U.K.’s Crown Prosecution Service (the “CPS”) announced that it would not bring any charges against News Group Newspapers Limited (“NGN”), a subsidiary of News Corporation, following an investigation into voicemail interception at NGN’s former publication, The News of the World, that was initiated in 2011. The Metropolitan Police Service previously notified NGN that it had concluded its corporate investigation relating to payments to public officials at The News of the World and at The Sun. All criminal investigations of NGN relating to voicemail interception, illegal data access and inappropriate payments to public officials at The News of the World and at The Sun have now been concluded.
