Item 8.01 Other Events

As previously disclosed in its Current Report on Form 8-K filed with the Securities and Exchange Commission on November 23, 2015, Diebold, Incorporated (the “Company”) entered into a revolving and term loan credit agreement (as amended through the date hereof, the “Credit Agreement”), dated as of November 23, 2015, among the Company and certain of the Company’s subsidiaries, as borrowers, JPMorgan Chase Bank, N.A., as Administrative Agent, and the lenders named therein. On April 5 and 6, 2016, allocation and pricing of the Term Loan B facility provided under the Credit Agreement (which Term Loan B facility is intended to provide part of the financing for Diebold’s previously announced potential acquisition of Wincor Nixdorf Aktiengesellschaft, a German public stock corporation) was completed. The Company expects as a result thereof that the Term Loan B facility will, at funding thereof, consist of a $1,000,000,000 USD-denominated tranche that will bear interest at LIBOR plus an applicable margin of 4.50% (or, at the Company’s option, prime plus an applicable margin of 3.50%), and a €350,000,000 euro-denominated tranche that will bear interest at EURIBOR plus an applicable margin of 4.25%, and to enter into an amendment to the Credit Agreement in respect of the foregoing within 31 days of the pricing of the Term Loan B facility. Each tranche is expected to be funded at 99% of par.

In connection with the proposed acquisition of Wincor Nixdorf, Diebold has made an offer for all ordinary shares of Wincor Nixdorf (the “tender offer”) and filed a Registration Statement on Form S-4 with the U.S. Securities and Exchange Commission (“SEC”), which was declared effective by the SEC on February 5, 2016, that includes a prospectus of Diebold to be used in connection with the tender offer.
