On September 26, 2016, LogMeIn, Inc. (the “Company”) announced the early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act (the “HSR Act”) for its proposed merger with Citrix Systems, Inc.’s (“Citrix”) GetGo subsidiary, a wholly-owned subsidiary consisting of Citrix’s GoTo family of products. Termination of the HSR Act waiting period satisfies one of the conditions to the closing of the transaction. The transaction, which is expected to close in the first quarter of 2017, remains subject to other closing conditions, including shareholder approval and other regulatory approvals.
