(1) Represents 5,950,000 shares of Class B Common Stock held directly by Emergence Capital Partners II, L.P.
(2) Each share of Class A Common Stock is entitled to one vote, and each share of Class B Common Stock is entitled to ten votes. Each share of Class B Common Stock is convertible, at any time at the option of the holder, into one (1) share of Class A Common Stock. In addition, each share of Class B Common Stock will convert automatically into one (1) share of Class A Common Stock upon any transfer, whether or not for value, except for certain permitted transfers described in, and transfers to any “permitted transferee” as defined in, the Issuer’s restated certificate of incorporation in effect as of the date hereof. All shares of Class A and Class B Common Stock will convert automatically into shares of a single class of Common Stock upon the earliest to occur of the following: (a) upon the election by the holders of a majority of the then outstanding shares of Class B Common Stock or (b) October 15, 2023.
(3) The percent of class was calculated based on (i) 116,511,150 shares of Class A Common Stock and (ii) 24,832,169 shares of Class B Common Stock outstanding as of November 30, 2017, (as reported in the Issuer’s Quarterly Report on Form 10-Q as filed by the Issuer with the SEC on December 6, 2017).
(4) Based on the aggregate number of shares of Class B Common Stock beneficially owned by the reporting person, which pursuant to Rule 13d-3 of the Securities Exchange Act of 1934, as amended, is treated as converted into Class A Common Stock only for purposes of computing the percentage ownership of the reporting person. In accordance with Rule 13d-3, the percentage reported does not reflect the ten for one voting power of the Class B Common Stock because the Class B Common Stock is not a registered class of voting equity securities under the Securities Exchange Act of 1934, as amended. The 5,950,000 shares of Class B Common Stock held by Emergence Capital Partners II, L.P. represents 16.3% of the aggregate combined voting power of the Class A Common Stock and Class B Common Stock.
