SCHEDULE TO

This Amendment No. 5 (the “Amendment No. 5”) amends and supplements the Tender Offer Statement on Schedule TO (the “Schedule TO”) originally filed with the United States Securities and Exchange Commission (the “SEC”) by Amgen Inc., a Delaware corporation (“Amgen” or the “Company”), on February 5, 2018, as amended and supplemented on February 5, 2018, February 14, 2018, February 20, 2018 and February 23, 2018, in connection with the Company’s offer to purchase up to $10 billion in value of shares of its common stock, $0.0001 par value per share (the “Shares”), at a price not greater than $200 nor less than $175 per Share, to the seller in cash, less any applicable withholding taxes and without interest.

Only those items amended or supplemented are reported in this Amendment No. 5. Except as specifically provided herein, the information contained in the Schedule TO remains unchanged and this Amendment No. 5 does not modify any of the information previously reported on the Schedule TO. You should read this Amendment No. 5 together with the Schedule TO, the Offer to Purchase dated February 5, 2018 (the “Offer to Purchase”) and the related Letter of Transmittal.

 

ITEM 11. ADDITIONAL INFORMATION

Item 11 is hereby amended and supplemented as follows:

The paragraph contained under the heading “Sensipar® Pediatric Exclusivity Litigation” is hereby amended and restated to read in its entirety as follows:

On May 25, 2017, Amgen filed a lawsuit in the U.S. District Court for the District of Columbia (the “D.C. District Court”) seeking effectively to reverse the FDA’s May 22, 2017 rejection of Amgen’s request for pediatric exclusivity for cinacalcet hydrochloride (Sensipar®/Mimpara®). Four companies seeking to market generic versions of Sensipar® were granted leave to intervene, but all but Amneal Pharmaceuticals LLC have subsequently withdrawn from the case. On February 17, 2018, the D.C. District Court denied Amgen’s motion for summary judgment in its entirety, granted the FDA’s cross motion for summary judgment in its entirety, and entered a final judgment for the FDA. On February 19, 2018, Amgen filed its notice of appeal of the final judgment. Amgen also filed, with the D.C. District Court, an emergency motion for injunctive relief pending appeal. On February 22, 2018, the D.C. District Court denied Amgen’s emergency motion for injunctive relief pending appeal. On February 23, 2018, Amgen filed an emergency motion for injunction pending appeal and to expedite briefing and argument in the U.S. Court of Appeals for the District of Columbia Circuit. The FDA and Amneal Pharmaceuticals LLC have until February 27, 2018 to file their responses to Amgen’s emergency motion for injunctive relief. Amgen has until March 1, 2018 to file its reply.

As previously disclosed in our Annual Report on Form 10-K for the period ended December 31, 2017 (the “2017 Form 10-K”), our material U.S. patent for Sensipar® for calcium receptive-active molecules expires on March 8, 2018, while our other material U.S. formulation patent for Sensipar® remains in place until September 22, 2026. See Part I, Item 1. Business—Marketing, Distribution and Selected Marketed Products—Patents in our 2017 Form 10-K. Further, as we have also disclosed in our 2017 Form 10-K, we are also engaged in litigation regarding our U.S. formulation patent for Sensipar® in the U.S. District Court for the District of Delaware with a number of companies seeking to market generic versions of Sensipar®. See Part IV—Note 18, Contingencies and commitments, to the Consolidated Financial Statements in our 2017 Form 10-K. Should we fail to secure emergency injunctive relief from the U.S. Court of Appeals for the District of Columbia Circuit while we continue to pursue pediatric exclusivity for Sensipar®, Sensipar® generic competitors could receive FDA approval and decide to enter the market to compete with us for sales of our Sensipar® product, “at risk” of any liability for patent infringement or contrary to any pediatric exclusivity the U.S. Court of Appeals for the District of Columbia Circuit may later determine that we are entitled to. Such competition could materially impact Sensipar® sales going forward.
