Ellie Mae, Inc., a Delaware corporation (the “Company”), filed its definitive proxy statement (the “Proxy Statement”) with the Securities and Exchange Commission on March 15, 2019, relating to the Agreement and Plan of Merger, dated as of February 11, 2019, by and among the Company, EM Eagle Purchaser, LLC (“Parent”), and EM Eagle Merger Sub, Inc. (“Merger Sub”), a wholly owned subsidiary of Parent, as a result of which Merger Sub will merge with and into the Company, with the Company surviving the merger and becoming a wholly owned subsidiary of Parent. The Company desires to supplement the Proxy Statement with updates related to antitrust filings in the United States. These Definitive Additional Materials should be read in conjunction with the Proxy Statement and any supplements thereto, which we urge you to read in its entirety.

The disclosure under the heading “Summary – Regulatory Approvals Required for the Merger” is hereby supplemented by adding the disclosure underlined below to the second paragraph under that heading on page 4 of the Proxy Statement:

Ellie Mae and Thoma Bravo Fund XIII-A, L.P. made the filings required under the HSR Act on February 21, 2019. The applicable waiting period under the HSR Act expired on March 25, 2019 at 11:59 pm ET.

The disclosure under the heading “The Merger – Regulatory Approvals Required for the Merger” is hereby supplemented by adding the disclosure underlined below to the first paragraph under the subheading “HSR Act and U.S. Antitrust Matters” on page 68 of the Proxy Statement:

The Merger is subject to the provisions of the HSR Act and therefore cannot be completed until Ellie Mae and Parent file a notification and report form with the FTC and the DOJ under the HSR Act and the applicable waiting period has expired or been terminated. Ellie Mae and Thoma Bravo Fund XIII-A, L.P. made the necessary filings with the FTC and the Antitrust Division of the DOJ on February 21, 2019. The applicable waiting period under the HSR Act expired on March 25, 2019 at 11:59 pm ET.
