Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

On December 31, 2010, the Board of Directors of Mount Knowledge Holdings, Inc. (the “Company”) approved by unanimous written consent the change of the Company’s fiscal year end from October 31 to December 31. The Company intends to file a transition report on Form 10-K/A for the transition period from November 1, 2010 to December 31, 2010.
