Dr. David E. Bell was appointed to the Board of Directors on July 25, 2012. Subsequent to his appointment, the Company held only two Board meetings during the remainder of fiscal year 2012. Due to another commitment, Dr. Bell was unable to attend one meeting which resulted in his attendance being reported as fewer than 75% of the meetings of the Board in the fiscal year.
