Notice of Annual Meeting of Shareholders

The annual meeting of shareholders of Caterpillar Inc. will be held on Wednesday, June 13, 2018 at 8:00 a.m., local time, at Pearl Stable, 307 Pearl Pkwy, San Antonio, TX 78215.

The matters intended to be acted upon at the meeting are listed below:

1.

Election of the following nominees as directors: Kelly A. Ayotte, David L. Calhoun, Daniel M. Dickinson, Juan Gallardo, Dennis A. Muilenburg, William A. Osborn, Debra L. Reed, Edward B. Rust, Jr., Susan C. Schwab, D. James Umpleby, III, Miles D. White and Rayford Wilkins, Jr.

Ratify the appointment of the independent registered public accounting firm for the 2018 fiscal year.
 

3.

Company proposal – Advisory vote to approve executive compensation.
 

4.

Shareholder Proposal - Decrease percent of ownership required to call special shareholder meeting.
 

5.

Shareholder Proposal - Amend the Company’s compensation clawback policy.
 

6.

Shareholder Proposal - Require human rights qualifications for director nominees.
 

7.

To consider such other business as may properly come before the meeting or any adjournment or postponement thereof.

The Board of Directors recommends that you vote FOR the election of each of the nominees for director, FOR the ratification of the appointment of the independent registered public accounting firm for the 2018 fiscal year and FOR executive compensation. The Board of Directors recommends that you vote AGAINST the three shareholder proposals.
