On May 10, 2005, Cleveland-Cliffs Inc (the "Company") announced that the Board of Directors of the Company declared the payment of a scheduled quarterly cash dividend for both the Common Stock and Preferred Stock. Two press releases regarding the dividend declarations were published on May 10, 2005 and are contained in Item 9.01 as Exhibit 99(a) and (b) and incorporated into this Item 8.01 by reference.
