Item 1.01 Entry into a Material Definitive Agreement.

On May 25, 2007, Microsoft Licensing, GP ("MS") notified BSQUARE Corporation (the "Company") that MS is extending that certain Microsoft OEM Distribution Agreement for Software Products for Embedded Systems dated as of October 1, 2006 between MS and the Company through June 30, 2008.
