Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 20, 2008, Dr. Charles Homcy tendered his resignation from the Board of Directors of Cytokinetics, Incorporated (the "Company") as a Class II Director, with such resignation effective on July 1, 2008. Dr.Homcy's resignation is due to personal reasons and an interest to focus to his other professional activities and not the result of any disagreement with the Company. Dr. Homcy will continue to be a consultant of the Company and a member of its Scientific Advisory Board.
